Terms of Service

1. Agreement
These Terms of Service ("Terms") govern access to and use of VettedAd websites and software (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service
The Service helps you research, build, and manage Google Ads campaigns. Features may include connecting via the Google Ads API, keyword and ad group research, AI-assisted ad copy and landing page generation, audit reports, and both proposed changes (which require your approval) and limited autonomous actions (see Section 4A) applied under fixed, disclosed rules. We may add, change, or remove features with reasonable notice where practical. The Service is provided as software-as-a-service over the internet.
3. Accounts and Eligibility
You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account. You must be able to form a binding contract under applicable law. You must comply with Google's terms and policies for any Google Ads account you connect.
4. Your Responsibilities
You agree that:
- You have authority to connect each Google Ads account you link, and to authorise the Service to act on it as described in these Terms.
- You remain responsible for advertising spend, bids, creatives, landing pages, and compliance with advertising and consumer law.
- You will review proposals before approval. Approval authorises us to instruct the Google Ads API to apply that change.
- You are responsible for setting your own budget caps and spend limits within Google Ads if you want a hard ceiling on expenditure; the Service does not itself cap platform-level spend.
- You will not misuse the Service, attempt unauthorised access, or reverse engineer it except as permitted by law.
4A. Autonomous Actions
Certain parts of the Service (currently: the Optimizer's keyword pause/trim actions and search-term negative-keyword actions) may act on your connected Google Ads account without requiring approval for each individual action, under fixed rules disclosed in our product documentation. By connecting an account and leaving these features enabled, you authorise us to take such actions on your behalf. You may disable autonomous features at any time in the product. Actions taken this way include an undo window as described in-product. This authority does not extend to budget or bid-strategy changes, which remain proposal-only under Section 4.
5. Fees and Trials
Pricing, if any, will be shown at purchase or in an order form. Free audits or trials may be offered with limits we describe in the product. Fees are non-refundable except where required by law or expressly stated. We may change paid plan prices with notice before the next billing period.
6. Intellectual Property
We and our licensors own the Service, including software, branding, rulebooks, and documentation. You retain rights in your Google Ads account content and data. You grant us a limited licence to process that data solely to provide the Service. Feedback you provide may be used to improve the product without obligation to you.
7. Confidentiality and Data
Each party will protect the other's confidential information with reasonable care. Our handling of personal and Google Ads data is described in the Privacy Policy. You must not upload unlawful content or data you are not entitled to process.
8. AI-Assisted Features
The Service uses AI (including third-party AI models) to help generate keyword suggestions, ad copy, landing page content, and account insights.
- AI-generated content may contain errors and is provided as a starting point for your review before publication.
- We do not use your Google Ads account data to train generalised AI models. Data sent to our AI provider is used only to generate the specific output you requested. See the Privacy Policy for details.
- We do not guarantee the accuracy or advertising performance of AI-generated content.
9. Third-Party Platform Dependency
The Service depends on Google Ads and other third-party platforms that we do not control. We are not responsible for changes, outages, policy enforcement, account suspensions, or disapprovals made by Google or any other third-party platform. You are solely responsible for ensuring your advertising accounts and content comply with Google's terms and policies.
10. Disclaimers
The Service provides tools and recommendations. It does not guarantee advertising performance, conversion rates, spend reduction, or business outcomes. Advertising performance depends on many factors outside our control, including market conditions, competition, your offer, and third-party platform algorithms. Except as required by law, the Service is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of the Service in any twelve-month period is limited to the fees you paid us for the Service in that period (or £100 if you paid nothing). Nothing in these Terms limits liability that cannot be limited under UK law, including for death or personal injury caused by negligence, or for fraud.
12. Suspension and Termination
You may stop using the Service and cancel your account at any time. We may suspend or terminate access for material breach, non-payment, legal risk, or misuse. On termination, your right to use the Service ends and any autonomous actions cease; you remain solely responsible for the ongoing management of your Google Ads accounts thereafter. Provisions that by nature should survive (including IP, disclaimers, liability limits, and governing law) will survive.
13. Changes to Terms
We may update these Terms by posting a revised version with a new date. Material changes will take effect after reasonable notice where required. Continued use after the effective date constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except that consumers may bring claims in their local courts where mandatory law provides.
